This Coaching Agreement ("Agreement") is entered into on April 23, 2024 by and between Jen Lehner Media, LLC ("Coach"), and Leanne Toler of AlphaTrends.net ("Client").

 

  1. Scope of Services

   1.1 Coach will provide strategic coaching services to Client for a period of six (6) months, including:

       - Monthly 50-minute coaching calls to provide strategic advice on digital marketing, sales funnels, team building, and operations.

       - Voxer support with Coach and team Monday to Thursday, 9am to 3pm EST, for quick questions and feedback.

       - Assistance with mapping out digital marketing plans and sales funnels during coaching calls.

   1.2 Coach will provide VA hiring assistance, including:

       - Guiding Client through the process of hiring two VAs (community manager and marketing assistant).

       - Assisting with job descriptions, interview questions, trial week set-up, and candidate selection.

       - Offering best practices for onboarding and training new VAs.

   1.3 Coach will provide limited technical support, including:

       - Access to Coach's team for technical assistance Monday to Friday, 9am to 3pm EST.

       - Support includes minor troubleshooting, quick questions, and guidance on technical issues.

       - Does not include hands-on implementation work or ongoing platform management.

 

  1. Client Responsibilities

   2.1 Client agrees to actively participate in coaching calls and implement strategies discussed.

   2.2 Client is responsible for all decisions and actions taken in their business.

   2.3 Client will provide Coach with accurate and timely information needed to perform the services.

   2.4 Client is required to give at least 24 hours notice if they are unable to attend a scheduled coaching call. If less than 24 hours notice is given, Coach cannot guarantee the ability to reschedule the missed call.

 

  1. Fees and Payment

   3.1 The fee for the six-month coaching engagement is $10,000.

   3.2 Payment is due in full upon signing this Agreement.

   3.3 All fees are non-refundable.

 

  1. Confidentiality

   4.1 Coach will maintain the confidentiality of all proprietary information shared by Client.

   4.2 Client will not share or disclose any confidential information or materials provided by Coach.

 

  1. Intellectual Property

   5.1 All intellectual property, including copyrights and trademarks, belongs to the respective owner.

   5.2 No license to use any intellectual property is granted by this Agreement.

 

  1. Limitation of Liability

   6.1 Coach makes no guarantees or warranties, express or implied, regarding Client's results or outcomes.

   6.2 Coach's total liability under this Agreement shall not exceed the fees paid by Client.

 

  1. Termination

   7.1 Either party may terminate this Agreement with 30 days written notice.

   7.2 Upon termination, Coach will cease providing services and Client will not be entitled to any refund.

 

  1. Governing Law

   8.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.
